1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and our platform ("we", "us", or "our"). By accessing our website, creating an account, or using our generative AI tools, you expressly agree to be bound by these Terms and our Privacy Policy.

If you do not agree to all terms and conditions herein, you must immediately cease accessing or using our services.

2. Platform Description & AI Generation

We provide a cloud-based software-as-a-service (SaaS) platform offering artificial intelligence generation capabilities, including text-to-image, text-to-video, image-to-video, and music generation.

• Non-Deterministic Outputs — Generative AI models produce outputs probabilistically. We do not guarantee that generated media will meet specific aesthetic standards, be completely error-free, or be identical across repeated requests with identical prompts.
• Service Evolution — We continuously optimize and update our model architectures, features, and user interface, and reserve the right to modify or adjust service parameters with reasonable notice where feasible.

3. User Accounts & Security

• Eligibility — You must be at least 18 years old or have reached the legal age of majority in your jurisdiction to create an account and use paid services.
• Account Confidentiality — You are responsible for safeguarding your login credentials and for all activities conducted under your account. You must immediately notify us of any unauthorized account access.
• One Account Per User — Automated creation of multiple accounts or exploiting introductory credits is strictly prohibited.

4. Credits, Billing, and Subscriptions

• Credits System — Access to AI generation features is metered via credits. Each generation task deducts a specified number of credits based on the selected model, resolution, duration, and compute complexity.
• Credit Consumption — Credits are deducted upon generation task submission. In the event of an unrecoverable system or provider failure during task generation, deducted credits will be automatically returned to your balance.
• Purchases & Expiration — Purchase terms are displayed at checkout. See the Refund policy for payment reviews, failed-task credits and subscription cancellation. Your mandatory consumer rights remain unaffected.
• Price Adjustments — We reserve the right to adjust credit pricing or model consumption rates, with prior notification displayed on our pricing page.

5. Ownership & Intellectual Property Rights

• Your Input Data — You retain full ownership and responsibility for any prompts, images, or media assets you upload to the platform. You represent that you possess the necessary rights and authorizations for all uploaded content.
• Generated Outputs — Output use depends on the selected model and provider terms, your rights to the input material, and applicable law. Payment for generation does not itself guarantee exclusive ownership, copyright protection or unrestricted commercial rights.
• Platform IP — Vyi branding and original platform content remain subject to their applicable rights. Third-party software, models and assets retain their respective ownership and license terms.

6. Acceptable Use Policy & Content Guidelines

You agree not to use our platform or generative tools to produce, store, or distribute any content that:

1. Violates Laws — Engages in unlawful, deceptive, infringing, or fraudulent activities.
2. Harmful or Abusive Content — Generates non-consensual sexually explicit material, violence, hate speech, terrorism, self-harm promotion, or harassment.
3. Impersonation & Deepfakes — Creates deceptive likenesses of real individuals without authorization, or promotes misinformation and political manipulation.
4. Malicious Exploits — Attempts to reverse engineer, scrape, bypass rate limits, inject malicious scripts, or disrupt platform infrastructure.

Violation of these guidelines will result in immediate account suspension or termination without refund.

7. Disclaimer of Warranties

The platform, AI models, and all generated materials are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall our platform, its affiliates, directors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business goodwill) arising out of your access to or inability to use our services, even if advised of the possibility of such damages.

9. Account Termination

We reserve the right to suspend, restrict, or terminate your access to the platform at any time with or without cause if we reasonably determine that you have violated these Terms or engaged in unauthorized activity. You may discontinue use and request account deletion through support from the account concerned.

10. Modifications to These Terms

We may update these Terms periodically to reflect product updates or legal obligations. We will notify users of significant amendments by updating the "Last Updated" date above. Continued use of our platform after updates indicates your agreement to the revised Terms.

Model and provider terms

Review the terms for the service used by your selected tool. These links explain third-party conditions; they do not grant a new license or a subscription on those services.

• APIB terms: the provider used by Tiny Desk AI (Seedance 2.0 Face).
• APIMart terms: tools processed through the APIMart API.
• KIE terms: KIE-routed image, video and music tools.
• fal terms: fal-routed processing tools.
• Replicate terms: tools routed through Replicate when configured.
• Google Gemini API terms: publisher reference for Nano Banana models. Provider routing may add further conditions.
• Suno terms: publisher reference for Suno models. A Vyi credit pack is not a Suno subscription.

For Seedance and Seedream, also consult the ByteDance Seed model information. For a model without a linked public license, ask support about the exact model and intended use before publishing. Check rights to portraits, voices, logos and any music you add.
